These Terms & Conditions (“T&Cs”) constitute a legally binding agreement between KrestaPay Software Private Limited (“KrestaPay”, “Company”, “we”, “our”, “us”) and any person or entity (“you”, “user”, “customer”, “client”) accessing or using our website, products, and services.

By accessing, viewing, or using the content and functionality on our website or services, you acknowledge that you have read, understood, and agree to be bound by these T&Cs. If you do not agree, you must immediately discontinue use of our services.

1. Scope of Services

• Software Development: Websites, mobile apps, ERP/CRM, and custom solutions.
• Digital Marketing Services: SEO, social media marketing, branding, paid ad campaigns, and related services.
• Fintech Platform Solutions: Digital transaction facilitation, wallet systems, and related fintech offerings (limited to India).

All services are subject to separate proposals, agreements, and invoices shared with clients.

2. Proprietary Rights

• All material on the website, including text, design, graphics, code, software, and logos, is protected by applicable intellectual property laws.
• Unauthorized copying, modification, or commercial use of our content, designs, or software without prior written consent of KrestaPay is strictly prohibited.
• All third-party trademarks, logos, and content remain the property of their respective owners.

3. Communications with KrestaPay

By sending suggestions, ideas, or content to KrestaPay, you grant us a royalty-free, perpetual, irrevocable, and non-exclusive license to use, modify, adapt, publish, and distribute such material.

We may use shared ideas or feedback to improve our services, products, or marketing efforts without obligation to compensate you.

4. Privacy Policy

KrestaPay respects your privacy and handles user data responsibly. Our Privacy Policy discloses how we collect, store, use, and safeguard user information.

5. Disclaimer of Warranties & Limitation of Liability

• Services are provided on an “as is” and “as available” basis.
• KrestaPay makes no warranties, either express or implied, about completeness, accuracy, timeliness, reliability, or results of our services.
• Digital marketing results (SEO ranking, leads, conversions) depend on multiple factors and cannot be guaranteed.
• Fintech services may face downtime due to third-party providers (banks, NPCI, payment gateways, telecom, hosting). KrestaPay is not liable for such disruptions.
• The maximum liability of KrestaPay shall not exceed the total fees paid by the client for the specific service.

6. Acceptable Use Policy (User Responsibilities)

You agree to use KrestaPay’s services for lawful purposes only. You must not:

• Upload or distribute illegal, harmful, defamatory, obscene, or infringing material.
• Attempt unauthorized access to our systems or misuse our platform for fraudulent transactions.
• Use fintech services for international transactions, money laundering, or prohibited activities.
• Violate third-party policies (Google, Meta, RBI, SEBI, etc.).

Violation may lead to immediate suspension/termination of services without refund and may be reported to authorities.

7. Indemnification

You agree to indemnify, defend, and hold harmless KrestaPay, its directors, officers, employees, partners, and affiliates from any claims, liabilities, losses, damages, costs, and expenses (including legal fees) arising from your use of our services, violation of these T&Cs, or infringement of third-party rights.

8. Corrections & Modifications

KrestaPay strives to keep information updated but does not guarantee completeness or accuracy. We reserve the right to update, change, or discontinue any service or content at any time without prior notice.

9. External Links

Our website may contain links to third-party websites. These links are provided for user convenience only. KrestaPay does not endorse, control, or take responsibility for the accuracy, content, or reliability of external websites.

10. Use of the Internet

Use of the internet and online services carries inherent risks. KrestaPay shall not be responsible for losses caused by:

• Network failures, viruses, malware, unauthorized access, or theft.
• Force majeure events (natural disasters, wars, strikes, government restrictions, etc.).

11. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed under the laws of India. Any disputes shall fall under the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.

12. Copyright

KrestaPay owns all copyrights in its website and services. Unauthorized use, duplication, or distribution may result in civil and criminal liability.

13. Entire Agreement

These Terms & Conditions constitute the complete and exclusive agreement between you and KrestaPay regarding the use of our services, superseding any prior agreements or understandings.
